1.1. By installing, accessing, or using the Lango application (the "Application"), you agree to be bound by these Terms and Conditions ("Terms"). Please review them carefully before installation, registration, or use. If you do not agree to these Terms, do not install or use the Application.

1.2. These Terms constitute a legally binding agreement between you (the "User") and Grappetite LLC ("Lango", "we", "us", or "our"). By clicking "I Accept," creating an account, or continuing to use the Application after being notified of changes, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.3. We reserve the right to modify, amend, or update these Terms at any time. Changes will be posted within the Application and on our website at langoapp.com. Your continued use of the Application following any changes constitutes acceptance of those changes. Material changes will be communicated via email or in-app notification.

2.1. "Application" means the Lango software application for language learning available on Apple iOS and Android devices, including all updates, upgrades, new versions, and any related documentation or services provided by Lango.

2.2. "User-Generated Content" or "UGC" means any and all content that you upload, submit, post, create, or transmit through the Application, including but not limited to notecards, images, photographs, audio recordings, voice recordings, typed text, translations, notes, and any other materials.

2.3. "Services" means all features, functionality, tools, and services provided through the Application, including language learning tools, notecard creation and sharing, community features, and any other functionality.

2.4. "Account" means the user account you create to access and use the Application.

3.1. Age Requirements: You must be at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is higher) to use the Application. If you are under 18 years of age (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian to use the Application, and they must agree to these Terms on your behalf.

3.2. Parental Consent: We do not knowingly collect personal information from children under 13 years of age. If we become aware that a user is under 13 and has provided personal information without verified parental consent, we will delete that information and terminate the account.

3.3. Account Accuracy: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.4. Account Security: You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.5. Prohibited Users: You may not use the Application if you have been previously banned or if your account has been terminated for violation of these Terms.

4.1. Your privacy is important to us. All personal information and User-Generated Content that you provide or that we collect through the Application is handled in accordance with our Privacy Policy, available at https://langoapp.com/privacy-policy/.

4.2. By using the Application, you consent to the collection, use, storage, and processing of your personal data and UGC as described in our Privacy Policy, including the processing of images, audio recordings, and text for the purpose of providing Application features, improving services, and AI training and development.

4.3. You acknowledge that UGC you upload may be processed by third-party service providers and may be stored on servers located outside your country of residence.

5.1. Ownership of Intellectual Property

All intellectual property rights in and to the Application, including but not limited to trademarks, service marks, trade names, logos, copyrights, patents, trade secrets, software code, designs, graphics, text, and other materials, are owned exclusively by Grappetite LLC or our licensors. These Terms do not grant you any ownership rights to the Application or its content.

5.2. License to Use the Application

Subject to your compliance with these Terms, Grappetite LLC grants you a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free, revocable license to download, install, and use the Application for the following purposes:

• (a) Personal Use: You may use the Application on devices that you own or control for your personal language learning purposes.
• (b) Educational / Teaching Use: If you are a teacher, instructor, tutor, or educational institution, you may require your students to download and use the Application as part of your paid or unpaid language instruction services, classes, or curriculum, provided that:
  • Each individual student downloads and uses the Application on their own device(s);
  • Each student creates their own individual account;
  • The number of students per teacher account does not exceed 50 without prior written approval from Lango;
  • You do not resell access to the Application itself as a standalone product;
  • Schools, institutions, and teachers remain responsible for ensuring their students comply with these Terms.
• (c) Enterprise Use: For educational institutions, language schools, or organizations requiring access for more than 50 users, please contact us at admin@langoapp.com for enterprise licensing arrangements.

5.3. Restrictions on Use

You expressly agree that you will NOT:

• Copy, reproduce, distribute, or create derivative works of the Application;
• Modify, reverse engineer, decompile, disassemble, or attempt to discover the source code;
• Rent, lease, lend, sell, sublicense, or transfer the Application to any third party;
• Remove or obscure proprietary notices;
• Use the Application for illegal or unauthorized purposes;
• Circumvent or disable security features;
• Damage, disable, or overburden servers or networks;
• Use bots, scrapers, or automated systems without written permission.

5.4. User-Generated Content License

• (a) Ownership: You retain ownership of your User-Generated Content (UGC).
• (b) License Grant to Lango: By uploading UGC, you grant Grappetite LLC a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use your UGC for:
  • Hosting and displaying content in the Application;
  • Allowing other users to interact with shared content;
  • AI training and service improvement;
  • Marketing and promotion;
  • Aggregated and anonymized analytics;
  • Any purpose related to operating or improving the Services.
• (c) No Compensation: You will not receive any compensation for granting this license.
• (d) Sublicensing: Lango may sublicense these rights to partners and service providers.
• (e) License Survival: This license survives termination of your account or these Terms.

6.1. Compliance with Laws: You agree to use the Application in compliance with all applicable local, state, federal, and international laws, regulations, and treaties, including but not limited to export control laws, sanctions, and embargoes.

6.2. Mobile Network Charges: You acknowledge that your use of the Application may be subject to charges from your mobile network provider for data usage, messaging, and other services. You are solely responsible for any such charges incurred.

6.3. Bill Payer Permission: If you are not the bill payer for the mobile device on which you install the Application, you represent that you have obtained permission from the bill payer to download and use the Application.

6.4. Updates and Modifications: We may from time to time update, modify, or discontinue features of the Application. We are not obligated to provide any updates, but if we do, these Terms will apply to such updates unless otherwise specified.

6.5. Fees: While the Application may be available for free download, we reserve the right to charge fees for access to certain features, content, or services. We may also introduce subscription models or in-app purchases. Any such changes will be communicated to you in advance.

7.1. Prohibited Content

You agree that you will NOT upload, post, submit, or transmit any UGC that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party;
• Contains viruses, malware, spyware, or any other malicious code;
• Promotes or incites violence, terrorism, or illegal activities;
• Contains hate speech, discrimination, or promotes harm against individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic;
• Is sexually explicit, pornographic, or contains nudity (except for educational anatomy content clearly marked as such);
• Constitutes spam, advertising, or promotional material not authorized by Lango;
• Contains false, misleading, or deceptive information, including but not limited to:
• Intentionally incorrect translations or language content designed to mislead learners;
• Fake or fabricated language rules or vocabulary;
• Deliberately wrong pronunciation guides or phonetics that could harm a user's language learning;
• Violates the privacy or publicity rights of any person, including posting personal information about others without consent;
• Impersonates any person or entity, or misrepresents your affiliation with any person or entity;
• Contains content that exploits or harms minors in any way;
• Encourages or facilitates illegal activity.

7.2. User Warranties and Representations

By uploading or submitting UGC, you represent and warrant that:

• You own or have all necessary rights, licenses, consents, and permissions to upload the UGC and grant the licenses described in Section 5.4;
• Your UGC does not and will not infringe, violate, or misappropriate any third-party intellectual property rights, privacy rights, publicity rights, or any other rights;
• Your UGC is accurate, truthful, and not misleading (especially regarding language learning content, translations, and educational materials);
• Your UGC complies with these Terms and all applicable laws;
• You have obtained all necessary permissions, releases, and consents from any individuals appearing in photographs, videos, or audio recordings you upload.

7.3. Indemnification for User Content

You agree to indemnify, defend, and hold harmless Grappetite LLC, its officers, directors, employees, agents, affiliates, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

• Your UGC;
• Your violation of these Terms;
• Your violation of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights;
• Your use or misuse of the Application;
• Any false, misleading, or harmful content you provide that damages or harms other users.

8.1. Monitoring Rights

While we are not obligated to monitor UGC, we reserve the right (but not the obligation) to:

• Monitor, review, screen, edit, or remove any UGC at any time and for any reason, without prior notice or liability;
• Investigate violations of these Terms;
• Take appropriate legal action against anyone who violates these Terms;
• Cooperate with law enforcement authorities and comply with legal processes.

8.2. Reporting Violations

If you encounter any UGC that you believe violates these Terms, infringes your rights, or is otherwise inappropriate, please report it immediately using the in-app reporting feature or by contacting us at admin@langoapp.com with detailed information about the content and the nature of the violation.

8.3. Response to Reports

We will review reported content promptly and take appropriate action, which may include removing the content, warning the user, suspending the user's account, or permanently terminating the user's access to the Application. We aim to respond to reports within 24 hours, though response times may vary depending on the volume of reports.

8.4. Account Suspension and Termination

We may, in our sole discretion and without prior notice or liability:

• Issue warnings to users who violate these Terms;
• Temporarily suspend accounts;
• Permanently terminate accounts and delete all associated UGC;
• Report illegal activity to law enforcement authorities;
• Take any other action we deem appropriate.

Repeated violations of these Terms will result in permanent account termination without refund of any fees paid.

8.5. DMCA and Copyright Infringement

We respect intellectual property rights and expect our users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through the Application, please notify us by providing the following information in writing:

• Identification of the copyrighted work claimed to have been infringed;
• Identification of the allegedly infringing material and its location in the Application;
• Your contact information (address, telephone number, email);
• A statement that you have a good faith belief that the use is not authorized;
• A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner;
• Your physical or electronic signature.

9.1. Platform Compatibility:

The Application is available for devices running Apple iOS 18.0 and above, and Android 10.0 and above. We may update these requirements from time to time.

9.2. Internet Access:

Use of the Application requires an active internet connection. Data charges from your mobile network provider may apply.

9.3. No Guarantee of Availability:

While we use reasonable efforts to make the Application available at all times, we do not guarantee uninterrupted, timely, secure, or error-free operation. The Application is provided over the internet and mobile networks, and quality and availability may be affected by factors outside our reasonable control, including but not limited to:

• Internet service provider issues;
• Mobile network connectivity problems;
• Device compatibility issues;
• Server maintenance and updates;
• Force majeure events.

9.4. No Support Obligation

Grappetite LLC and its contractors do not accept responsibility for the unavailability of the Application or any difficulty or inability to download, access content, or use features. We are not obligated to provide technical support or maintenance for the Application, though we may choose to do so at our discretion.

10.1. Termination by Lango:

We may terminate or suspend your access to the Application immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms;
• Fraudulent, abusive, or illegal activity;
• Requests by law enforcement or government agencies;
• Extended periods of inactivity;
• Technical or security issues;
• Discontinuation of the Application or Services.

10.2. Termination by User

You may terminate your account at any time by:

• Using the account deletion feature in the Application settings; or
• Contacting us at admin@langoapp.com with a deletion request.

10.3. Effect of Termination

Upon termination of your account for any reason:

• Your right to access and use the Application immediately ceases;
• You must stop all use of the Application and delete it from your devices;
• We may delete your account data and UGC from our active servers, though backups may persist for a reasonable period;
• The licenses you granted to Lango under Section 5.4 survive termination;
• Sections 5.4, 7.3, 9, 11, 12, 13, 14, and 15 survive termination.

10.4. No Refunds

If your account is terminated for violation of these Terms, you will not be entitled to any refund of fees or payments made.

11.1. Free and Paid Features:Certain features of the Application may be available for free, while others may require payment or subscription.

11.2. Subscription Terms:If you purchase a subscription:

• Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date;
• You will be charged the then-current subscription fee;
• Requests by law enforcement or government agencies;
• Cancellation must be made through your App Store or Google Play account settings at least 24 hours before the end of the current period to avoid being charged for the next period.

11.3. Refunds:Refund policies are governed by the App Store (Apple) or Google Play Store policies. Please contact the respective store for refund requests. We do not process refunds directly.

11.4. Price Changes:We may change subscription prices at any time. Price changes will apply to subsequent billing periods after notice is provided to you.

11.5. Payment Processing:All payments are processed by Apple App Store or Google Play Store. We do not store or have access to your payment information.

12.1. AS IS and AS AVAILABLE: THE APPLICATION AND ALL SERVICES, CONTENT, AND UGC ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

12.2. No Warranties: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRAPPETITE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE APPLICATION WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY CONTENT, INCLUDING UGC;
• WARRANTIES THAT DEFECTS WILL BE CORRECTED;
• WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE APPLICATION.

12.3. User-Generated Content: WE MAKE NO WARRANTIES REGARDING THE ACCURACY, TRUTHFULNESS, OR QUALITY OF ANY USER-GENERATED CONTENT, INCLUDING LANGUAGE LEARNING MATERIALS, TRANSLATIONS, NOTECARDS, OR EDUCATIONAL CONTENT CREATED BY USERS. YOU USE UGC AT YOUR OWN RISK. WE ARE NOT RESPONSIBLE FOR ANY HARM, CONFUSION, OR INCORRECT LEARNING RESULTING FROM INACCURATE OR MISLEADING UGC.

12.4. Third-Party Content: The Application may contain links to or integrate with third-party websites, services, or content. We do not endorse, warrant, or assume responsibility for any third-party content or services.

12.5. Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties. If you are in such a jurisdiction, some of the above exclusions may not apply to you, and you may have additional rights.

13.1. Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRAPPETITE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities;
• Loss of data or information;
• Loss of goodwill or reputation;
• Business interruption;
• Personal injury or property damage;
• Errors or inaccuracies in UGC or learning materials;
• Harm resulting from incorrect translations or language instruction;
• Any other pecuniary loss;

WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2. Cap on Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE GREATER OF: (a) The total amount you have paid to Lango in the twelve (12) months preceding the claim; or (b) One hundred US dollars ($100.00).

13.3. Device Damage: We are not liable for any damage or alteration to your equipment, including but not limited to computers, mobile devices, tablets, or any other hardware, resulting from installation or use of the Application.

13.4. Essential Purpose: You acknowledge that the limitations of liability in this section are an essential element of the agreement between you and Lango, and that Lango would not provide the Application to you without these limitations.

13.5. Exceptions: NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT GRAPPETITE LLC'S LIABILITY FOR:

• Death or personal injury caused by our negligence;
• Fraud or fraudulent misrepresentation;
• Any other liability that cannot be excluded or limited under applicable law.

14.1. Governing Law: These Terms and your use of the Application shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

14.2. Jurisdiction and Venue: You agree that any disputes, claims, or controversies arising out of or relating to these Terms or your use of the Application shall be subject to the exclusive jurisdiction of the state and federal courts located in Lee County, Florida, United States. You irrevocably consent to the jurisdiction and venue of such courts and waive any objection to venue or inconvenient forum.

14.3. Arbitration: Alternatively, either party may elect to resolve disputes through binding arbitration conducted in Lee County, Florida, United States, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

14.4. Waiver of Class Actions: You agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14.5. International Users: If you access the Application from outside the United States, you are responsible for compliance with all local laws and regulations. By using the Application, you consent to the transfer of your data to the United States and acknowledge that U.S. law will govern these Terms.

15.1. Right to Modify: We reserve the right to modify, update, or replace these Terms at any time at our sole discretion.

15.2. Notice of Changes: When we make changes to these Terms, we will:

• Update the "Last Updated" date at the top of this document;
• Notify you through the Application, via email, or by other reasonable means;
• For material changes, we may require you to accept the new Terms before continuing to use the Application.

15.3. Continued Use: Your continued access to or use of the Application after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Application and may terminate your account.

15.4. Review Responsibility: It is your responsibility to review these Terms periodically for changes.

16.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Grappetite LLC regarding the Application and supersede all prior agreements, understandings, and communications.

16.2. Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.3. No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4. Assignment: You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.

16.5. Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

16.6.Survival: All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

16.7. Language These Terms are provided in English. Any translations are provided for convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.

16.8. Export Controls: You agree to comply with all applicable U.S. export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the Office of Foreign Assets Control.

If you download the Application from the Apple App Store, the following additional terms apply:

18.1. Acknowledgment: These Terms are between you and Grappetite LLC only, not with Apple Inc. ("Apple"). Grappetite LLC, not Apple, is solely responsible for the Application and its content.

18.2. Scope of License: The license granted to you is limited to a non-transferable license to use the Application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the App Store Terms of Service.

18.3. Maintenance and Support: Grappetite LLC is solely responsible for providing any maintenance and support services with respect to the Application, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application.

18.4. Warranty: Grappetite LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Grappetite LLC's sole responsibility.

18.5. Product Claims: Grappetite LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the Application or your possession and/or use of the Application, including but not limited to: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

18.6. Intellectual Property Rights: In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Grappetite LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

18.7. Legal Compliance: You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

18.8. Contact Information: Any questions, complaints, or claims with respect to the Application should be directed to Grappetite LLC at the contact information provided in Section 17.

18.9. Third-Party Terms of Agreement: You must comply with applicable third-party terms of agreement when using the Application (e.g., your wireless data service agreement).

18.10. Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
